These contest rules are specific to the above contest conducted by NRG Media, LLC d/b/a KQKY and KRNY (the

“Station”). Except to the extent specifically set forth below with respect to this specific contest, the Station’s general

contest rules apply to this contest as well. A copy of these specific contest rules and the Station’s general contest

rules are available at the Station’s studio at 2223 Central Avenue, Kearney, NE 68848, during regular business hours

and on the contest page on the Station’s website at www.krny.com and www.kqky.com . To the extent that the

general contest rules differ from these rules, these rules will govern and control with respect to this Contest.

1. No purchase is necessary to enter or win Station’s Mom and Me Photo Contest (“Contest”).

2. The contest is open to legal US residents at least 18 years old living within 100 miles of the Station’s studios at

the address above.

3. The Mom and Me Contest runs from April 18, 2014 to May 8, 2014, in 2 parts. The winner will be announced on

May 9, 2014 at 8 a.m.

Contestants may upload their photos according to these rules beginning at 6 a.m. on April 18, and continuing

through 2p.m. May 2, 2014.

Voting will begin at 3 p.m. May 2, 2014 and will continue through 11:59 p.m. May 8, 2014.

4. The registration/entry process will require you to register with the game administrator, UPICKEM, to upload

photos and /or to vote. Complete the online registration/entry form by submitting the Entrant’s name, address,

phone number and e-mail address. Limit one (1) registered UPICKEM account per e-mail address and limit

one (1) contest entry per UPICKEM account.

5. Click on the “Upload Photo” tab and:

a. Submit one (1) photo (as defined by requirements in Section 5 below) depicting only you and your

b. Enter your first name, the first name of the child(ren) depicted in the photo, and the town/city where you

live, and

c. Affirmatively check the box or “I agree” button, expressly confirming the following:

• Entrant represents and warrants that he/she is eighteen (18) years of age or older as of entry date.

• Entrant represents and warrants that he/she own the rights to, or have obtained permission to use,

• The entrant is the parent or legal guardian of the child(ren) pictured, if the child(ren) are under the

age of eighteen (18).

• Entrant represents and warrants that he/she consents to and authorizes Station to post the photo

containing the image of the parent and child(ren) on Station’s website or social network sites or use

the photo in any other way Station sees fit.

• Entrant consents, agrees and acknowledges that Station and contest sponsors and their respective

affiliates, parents, employees, agents and all other related sponsors may use for advertising and/or

promotional purposes, entrant’s and child’s name, image, photo submission, other entry materials

and/or biographical information on radio, on websites and/or any other medium in connection with

participation in this contest or otherwise without the payment of any additional compensation.

• Entrant understands and agrees that Station shall be the sole and exclusive owner of the

photograph submitted, whether or not the photo is selected as a winner, and entrant agrees to sign

any documents requested by Station to evidence such transfer of ownership.

• By submitting a photo in a Station contest, entrant agrees to indemnify Station should any

representations and warranties made by entrant herein or in the applicable contest rules prove to be

false or inaccurate.

• Entrant acknowledges and agrees that the contest rules are available to him/her at www.krny.com

and/or www.kqky.com , has had an opportunity to review them before entering this contest and

agrees to be legally bound by those contest rules.

6. Photo entry requirements:

a. Only a photo that depicts: 1) the one (1) Entrant, who is both twenty-one (21) years of age or older as of

entry date and the parent and/or legal guardian of the child(ren) depicted in the photo, and 2) the

Entrant’s child(ren) together in the same one (1) photo, may be submitted for entry in this contest.

b. For purposes of this contest, the term “photo” may include, but is not limited to the inclusion of, any

image that may be produced by an analog or digital camera, an optical image scanner (or simply,

“scanner”), a “screen dump,” “screen capture,” “screenshot,” or “screengrab,” and/or the digital

manipulation of one or multiple photographs achieved by the use of image editing software.

c. The photo must be uploaded in either the “.jpeg” or “.jpg” file format (no other formats will be accepted),

using the method described in Section 4 above.

d. Photo entries must not contain or depict any registered trade/servicemark or other copyrighted material

other than those owned or licensed by the entrants or the Station or a Contest Sponsor. The foregoing

is not intended to require Station to disqualify entrants who, in Station’s sole discretion, appear to be

innocently wearing clothing or are in areas that just happen to contain third party logos or marks.

Further, Station may, but is not obligated to pixelate/cover any trademarks/servicemarks/copyrighted

materials in Station’s sole discretion.

e. Any photo with any person other than the entrant and entrant’s own child(ren) will be ineligible and will

be disqualified. No other person’s image may be depicted in the photo (no matter how far away or

obscure); provided, however, that Station reserves the right to accept photos that have parts of other

people visible that Station deems (in its sole discretion) is not material to the photo and such persons

are completely indistinguishable (for example, a leg or finger). Further, Station’s decision in this matter

is final and not appealable and Station is not obligated to treat every photo identically. Any photograph

with any other person(s) depicted in it will be ineligible and disqualified, except as otherwise permitted in

this Section 5(e).

f. If applicable, the child(ren) depicted in the photo must be at least covered with a diaper, blanket, or other

covering such that the “diaper area” (area that a standard diaper would cover) is not exposed.

7. Both the entering parent/legal guardian and the child(ren) must be eligible to win in this contest.

8. Station will disqualify any photograph that is received from an Entrant who is not the parent or legal guardian of

the child(ren) depicted therein.

9. Photo entries (as defined by requirements in Section 5 above), as well as any comments that may be posted to

any photo entries in this contest, must not contain or convey any content that the Station determines at its sole

discretion, subjectively or otherwise, (i) to be indecent, profane, obscene, explicitly sexual, harmful, threatening,

abusive, harassing, tortious, defamatory, vulgar, libelous, or hateful, (ii) to be racially, ethnically, or otherwise

offensive or objectionable, (iii) to encourage unlawful behavior, (iv) to infringe upon the brand names, trademarks,

trade names, logos, or any other intellectual property that may belong to a third party, or (v) to disclose

any detailed personal, physical, contact, or otherwise confidential information that may belong to a third party.

Station shall not be required to make the same determination based on the foregoing for every photo and may

treat each photo entry differently, in its sole discretion, even if the problematic content is similar.

10. All entries are subject to preliminary review for verification of eligibility and compliance with these contest rules

based on the information provided in the entry form only. Each Entrant whose information appears to be

compliant with these contest rules will be accepted as a “Qualifier”. Station is not responsible for lost or

misdirected emails. Being accepted as a Qualifier does not mean that you are deemed eligible for this contest

and if Station becomes aware later or after the winner is selected that a Qualifier was not actually eligible, he or

she will be disqualified and will forfeit any prizes.

11. BY ENTERING THIS CONTEST AND SUBMITTING PHOTOGRAPH, THE ENTRANT IS REPRESENTING TO

STATION THAT THE USE AND DISTRIBUTION OF SUCH PHOTOGRAPH WILL NOT VIOLATE OR

INFRINGE UPON THE RIGHTS OF ANY THIRD PARTY, INCLUDING, WITHOUT LIMITATION, COPYRIGHTS

OF OTHERS. By submitting a picture, Entrants agree to indemnify Station should any representations and

warranties in these contest rules prove to be false or inaccurate.

12. By entering this contest, Entrants understand and agree that Station may elect to use any entry submitted for

entertainment purposes and may choose to comment on, mock, poke fun at, and/or mimic any entry submitted.

Entrants waive any right to make any claim against Station or any contest sponsors with respect to any

comments - disparaging or otherwise - made regarding such Entrant’s entry.

Voting

13. Automated voting of any kind is not permitted. Votes submitted through automated voting will be disqualified at

Station’s sole discretion.

How to Win

14. Starting on or about 6 a.m. April 18, 2014 and continuing through approximately 2:00pm (CT) on May 2, 2014,

listeners will be able to upload their entries.

Starting on or about 3 p.m. May 2, 2014 and continuing through approximately 11:59 pm (CT) May 8, 2014 some

or all of the photo entries received by Station will be posted on-line at www.kqky.com or www.krny.com so

that listeners and visitors may view and vote for their favorite entry up to the daily limit of 30 times per day.

On May 9, 2014, Station staff or management will select the winner in a random drawing of the photo with the

most votes on KQKY and the photo with the most votes on KRNY.

15. At 8:00 a.m. on May 9, 2014, the Stations will announce the winner over the radio on stations KQKY and KRNY.

The potential Grand Prize Winner need not listen in order to win. Station will contact the potential Grand Prize

Winner by email after the on-air announcement. Should the potential grand prize winner not meet the eligibility

requirements or is disqualified for any other reason, including failing to claim the prize within seven (7) days of

the announcement, Station may select (but shall not be obligated to select) an Alternate Grand Prize Winner. If

Station cannot find an eligible alternate winner, the Grand Prize will not be awarded in this Contest.

Prize(s)

16. Station will award one (1) Grand Prize in this contest. The Grand Prize is valued at approximately $1,000.00 and

consists of the following:

• One (1) 50-inch LG HD Television from contest sponsor Russell’s Appliance and Electronics, Kearney.

Station reserves the right to substitute a prize of equal or greater value.

Other Rules Specific to This Contest

17. The only person entitled to win any prize in this contest is the adult winning entrant. Children depicted in any

photo submitted are not entitled to any prize awarded.

18. In order to receive the Grand Prize, the Grand Prize Winner will be required to visit the Station’s studios at 2223

Central Avenue, Kearney, NE 68848, within seven (7) days of the announcement of the winner on-air. When

picking up the Grand Prize, the winner will be required to:

(i) produce documentation (including but not limited to a birth certificate or court order appointing a legal

guardian) establishing that they are the parent or legal guardian of the child depicted in the selected

picture, and

(ii) complete an IRS form W9, and

(iii) sign a document releasing the Stations, UPICKEM, the sponsors, their parent and subsidiary

companies, their officers, directors, members, employees, agents, shareholders, affiliates, suppliers,

distributors and advertising agencies from all liability, claims, or actions of any kind release

acknowledging their eligibility to win and their responsibility for all federal, state, and local

taxes and

(iv) any other documentation of eligibility requested by Station.

19. Station is conducting this contest using proprietary software owned by a third party known as Second Street

Media Inc. (“UPICKEM”). UPICKEM is not a sponsor of this contest but entrants may be required, as part of the

entry process, to agree and consent to UPICKEM’s Terms of Service and Privacy Policy (both of which are

available via a link during the contest entry process) (collectively, the “UPICKEM Policies”) and may be required

to register with UPICKEM. While agreement to the UPICKEM Policies is required in order to enter this contest,

the UPICKEM Policies are not a part of these contest rules but are a separate agreement between the entrant

and UPICKEM. With respect to the conduct of this contest by Station, in the event of any conflict between the

UPICKEM Policies and the Station contest rules, the Station’s contest rules govern.

20. Neither Station nor UPICKEM are responsible for Internet crashes or slowdowns caused by network congestion,

viruses, sabotage, satellite failures, phone line failures, electrical outages, natural disasters, Acts of God or man.

Station is not responsible for any error or technical malfunctions associated with the UPickEm site that may

affect any entrant’s ability to enter, win, or be properly considered in this Contest, regardless of the cause. In the

event of a malfunction associated with the UPickEm site that Station (in its sole discretion) deems to materially

and adversely affect this Contest, Station reserves the right to suspend this contest, terminate this contest

without a winner, terminate this contest and select a winner early, provide alternative means of entry or any other

changes to these contest rules that Station deems appropriate under the circumstances. Any such changes,

terminations or suspensions will be announced on air and/or posted on the Station’s website, if applicable.

21. Employees of Station, UPICKEM, Russell Electronics, and their affiliates, their respective parents, subsidiaries,

advertising sponsors, promotional agencies, and other radio industry employees and the immediate family

members of each are not eligible to win in this Contest. Immediate family members include spouses, siblings,

parents, children, grandparents, grandchildren, in-laws, whether by current or past marriages, remarriages,

adoption, co-habitation or other familial extension and any other person residing in the same household whether

or not related.

or unauthorized use of copyrighted materials, trademarks or intellectual property without the express written

consent of owner is strictly prohibited.
